Hong Kong Company Secretary: How Important is a Company Secretary

Hong Kong company secretary is mandatory according to the Company Ordinance.  With effect from the date of incorporation of a company, the first company secretary of the company is the person named as the company secretary in the incorporation form delivered to the Registrar under section 67(1).

A company secretary of a company must:
(a) if a natural person, ordinarily reside in Hong Kong; and
(b) if a body corporate, have its registered office or a place of business in Hong Kong.

Appointment and resignation of company secretary
The company secretary is appointed by the directors. According to Article 112 of Table A of the Hong Kong Company Ordinance, a Company Secretary can be appointed for such term, at such remuneration and upon such conditions as they may think fit.

Why do companies incorporated in HK need a secretary
On the one hand, in Hong Kong, according to the Companies Ordinance, appointing a company secretary is mandatory, every company should have one. The secretary, if an individual must ordinarily reside in Hong Kong; or if a body corporate, must have its registered office or a place of business in Hong Kong. The sole director of a private company cannot be the company secretary.

On the other hand, a company secretary plays a complex, multi-faceted and very important role within a company or organization. A company secretary is responsible for maintaining the statutory book, including register of shareholders and directors; organizing, preparing agendas for and taking minutes of board meetings and annual general meetings; alternation of directors or company secretaries; transfer of share; monitoring changes in relevant legislation and the regulatory environment and taking appropriate action; and liaising with lawyers and auditors.

The roles and responsibilities of company secretaries in Hong Kong have increased substantially and become more complex as demands for better corporate governance have grown.
