Hong Kong company secretary is a must for Hong Kong company. Company secreatry is the primary source of advice on the conduct of business and this can span everything from legal advice on conflicts of interest, through accounting advice on financial reports, to the development of strategy and corporate planning. In view of the important roles the company secretary plays in business, PLCs and large companies require the company secretary to be suitably trained, experienced and professionally qualified for these responsibilities.

In Hong Kong, every limited company is required to appoint a company secretary. Although there are no qualification requirements for private company, a company secretary must be either a Hong Kong resident or a Hong Kong registered company.

I. Main Duties of Company Secretary
Up-dating and maintaining of statutory books;
Filing of annual return with and reporting to the Companies Registry regarding the change of the Share structure, directors and shareholders, etc;
Preparing board minutes and arranging for annual general meetings as required by law.

II. Requirements on Company Secretary
Under the Companies Ordinance of the Laws of Hong Kong, penalties may be imposed on a company and its officers for failure to comply with certain procedural requirements within the prescribed time period. It is therefore important that a professional company secretary is retained to oversee these procedural matters to ensure compliance matters.

The company secretary that must be:
A natural person aged 18 or above, ordinarily resides in Hong Kong, or
A body corporate, have its registered office or a place of business in Hong Kong.

A listed company’s company secretary must be an individual who, by virtue of his or her academic or professional qualifications or relevant experience, is, in the opinion of the Hong Kong Stock Exchange, capable of discharging the functions of company secretary.

III. Role of company secretary
The role and specific duties of a company secretary are not prescribed by the CO and will usually be governed by the secretary’s contract of employment. However, in Hong Kong, corporate secretarial companies are often appointed as company secretaries of private companies. In general, a company secretary’s role will encompass, among other things:

1. The maintenance of the company’s records and registers, both statutory and non-statutory;
2. Running the agenda for, and taking minutes of, board meetings and members'meetings;
3. Filing documents with Companies Registry, as required by statute.
