Shanghai branch office formation is one choice to set up your business in Shanghai. A branch office is a location, other than the main office, where business is conducted. Most branch offices are comprised of smaller divisions of different aspects of the company such as human resources, marketing, accounting, etc. A branch office will typically have a branch manager who will report directly to and take orders from, a management member of the main office.
Basic Requirements on Branch Office
1. Name of Branch Office
Add words “Shanghai Branch” after parent company’s name, e.g. Shenzhen Tannet Consulting Limited Shanghai Branch.
2. Registered Capital
No requirement on registered capital.
3. Parent Company and Responsible Officer
Parent company must be registered in China; responsible officer can be the legal representative of parent company or anyone else.
4. Registered Address
Registered address must be commercial-related office building. Leasing contract with chop, or the enterprise or shareholders’ house-owner certificate should be provided before applying.
5. Business Scope
The business scope must be the same as parent company, exceeding the scope is not allowed.
Information Required for Registration
1. Application form for Establishing Branch office;
2. Business license of parent company;
3. M & A of parent company;
4. Copies of legal representative’s ID card of parent company;
5. Profile, original and copy ID card of responsible officer of the branch; recent photos;
6. Original of Shanghai office leasing agreement and copies of house-owner certificate with property chop. The office address must be commercial-related.
