How to Deregister a Hong Kong Company

How to deregister a Hong Kong company? Hong Kong limited company can be deregistered in accordance with the Hong Kong Companies Ordinance. It may be best to close (deregister) a company if the business plan proves unworkable; the business model has changed; the company's no longer profitable; or irresolvable disagreements arise with other owners. Generally speaking, a private company, the Director or the Shareholder are able to apply for such deregistration. 

Conditions for Deregistration
(1) All the members of the company agree to the deregistration.
(2) The company has never commenced business or operation, or has ceased to carry on business or ceased operation for more than 3 months immediately before the application.
(3) The company has no outstanding liabilities.
(4) The company has obtained a "Notice of No Objection to a Company being Deregistered" (Notice of No Objection) from the Commissioner of Inland Revenue.
(5) The company has disposed of any existing trading stock, properties or securities.

Relevant Authorities to be Notified
The following bodies must be formally notified you are closing your firm:
(1) Companies Registry;
(2) Inland Revenue Department;
(3) Relevant Licensing Authorities.

If you want to deregister a Hong Kong Limited company, you need to follow the following two steps:
1) Contact IRD (Inland Revenue Department) to obtain a written notice of no objection;
2) Once you receive a written notice of no objection from IRD, you have to notify Company Registry (CR).

Note: the company must be incorporated under the Companies Ordinance, other than those companies specified in section 291AA(16) or registered under Part XI of the Companies Ordinance.

Process with IRD and CR
Applicant Form (IR 1263) is required to submit to the Commissioner of Inland Revenue with a fee of $270 which is non-refundable regardless of the result of the application.

Once you obtain a written notice from IRD, an application for deregistration can be made to the Registrar of Companies in the specified form (Form DR1).
