Hong Kong Company Registration Process

Hong Kong company registration process is relatively simpler than that of mainland China. The Companies Registry (“the Registry”) administers and enforces most parts of the Companies Ordinance. The Registry registers local and non-Hong Kong companies and statutory returns, de-registers defunct solvent companies and provides the public with services and facilities for inspecting and obtaining company information kept by the Registry.

It is pretty straight forward. For each shareholder of the company you will need to have ready:
(a) Form NN1 - Application for Registration as Registered Non-Hong Kong Company;
(b) a certified copy of the instrument defining the company's constitution e.g. charter, statutes or memorandum and articles of association;
(c) a certified copy of the company's certificate of incorporation (or its equivalent);
(d) a certified copy of the company's latest published accounts; and
(e) a Notice to Business Registration Office (IRBR2).

General Procedures for Incorporating a Company in Hong Kong
Step1: Before incorporating a company, choose the type of company that best suits your company's purposes.

Step 2: Deliver the following documents with the correct fees either electronically or in hard copy form.

Step 3: Download or collect the Certificate of Incorporation and Business Registration Certificate (the Certificates). The Certificates will be issued by the Registry in electronic form for electronic applications and in hard copy form for applications delivered in hard copy form.

Step 4: Visit the website of the Trade and Industry Department for information on other licenses, permits, certificates and approvals relevant to import and export operations and other business operations in Hong Kong.
