Company name can be change any time after incorporation. This can be done in one of two ways. The members (shareholders or guarantors) can pass a special resolution, or the directors can vote to change it without the members’ approval.
Step 1 – Choose and Reserve the New Company Name
The first step in changing a company name is to reserve a new name. The general process is the same as when you reserve a name for a new company. A new company name must not be identical or nearly identical to an existing name held by another entity and do not contain any restricted words. Besides, the name also cannot be offensive to members of the public or suggest illegal activity.
Step 2 – Pass a Special Resolution
If you wish to change a company name by special resolution, a 75% majority vote of the members will be required. A resolution can be passed at a general meeting, but this is not always necessary. It is possible to pass a written resolution instead. Unlisted companies must give at least 21 days' notice of the meeting to its members. Listed companies must give at least 28 days' notice. Shorter notice can be given if members with at least 95% of the votes agree beforehand.
Step 3 – Apply to the Change Name
Once you've confirmed your name is available and you've passed a special resolution, lodge a Notification of resolution (including a copy of the passed special resolution) and pay the required fee. Make sure the form is lodged within 14 days of the resolution being passed. Otherwise, late fees will apply.
Step 4 – New Certificate of Incorporation
If the Registrar is satisfied with the application, it will issue a new certificate of incorporation. This certificate is a clear indication that the name of the company has been changed, and all the documents and any communication will be effective with the use of the changed name, after they are incorporated in MoA and AoA.
